Definition of Service: Netilion Connect

The customer (hereinafter referred to as “you”) can choose between different subscription models (hereinafter referred to as “Subscription”) to use the Netilion Connect service (hereinafter referred to as “Netilion Connect”). These are described in more detail on the Endress+Hauser homepage or in a quotation available to you. By (1) clicking a box or button indicating acceptance, (2) placing an order pursuant to a quotation referring to this Definition of Service, you agree to the conditions defined in this document (“API Terms”). Using the Netilion Platform is required in order to use Netilion Connect. Therefore, the terms and conditions set forth in the Endress+Hauser Master Service Agreement (hereinafter referred to as “Master Service Agreement”) apply in addition and have to be accepted by you in the event of option (1) above prior to completing your order and in the event of option (2) above upon conclusion of the contract.

The Service

Netilion Connect enables you by using the Endress+Hauser Netilion API (hereinafter referred to as “API”) to connect, program, and automate certain functions of the Netilion Services. It enables the users to connect to other software or create applications on top of the Netilion Platform. The detailed API functions, calls, and syntaxes are available on the Netilion developer Portal: https://developer.netilion.endress.com.

Registration

The usage of the Service requires your registration. In addition to the registration information defined in the Master Service Agreement, the usage of the API requires the user to generate and use API keys. The access to API key is restricted to users with an active and valid API usage plan.

General Obligations

When providing your Application by utilizing the API to your user (hereinafter referred to as “End User”) you shall ensure that the Application is provided in a appropriate frame. You shall implement measures for the End Users that comply with your legal obligations towards the End User, Endress+Hauser standards and your own contractual obligations towards Endress+Hauser, including but not limited to the following:

  • Provide End Users with clear and readily accessible information regarding how you collect, use, store and disclose their data#.
  • Obtain the explicit consent of the End User before collecting, analyzing, sharing or publishing any End User content obtained through the API on an End User’s behalf. Mere authorization of your Application by the End User does not constitute consent.
  • Comply with any requirements or restrictions imposed on the usage of End User content by the owner of such content. Although the API can be used to provide you with access to End User content, neither Endress+Hauser’s provision of the API to you nor your use of the API overrides any requirements or restrictions placed on such End User content by the End User.
  • Require your End Users to comply with (and not knowingly enable them to violate) applicable laws, regulations and these API Terms.
  • Obtain the consent of an End User prior to deleting or destroying any of the content associated with their account.
  • Enable your End Users to export their equivalent data to other sources or applications of their choice in a way that’s substantially as fast and easy as exporting such data from Endress+Hauser products and services.
  • Implement appropriate information security measures to protect End User data from external access, deletion or manipulation.

Unauthorized Use

To protect the functionality of the API and Endress+Hauser against 3rd Party Claims you and your Application shall not:

  • Access, store, or share private End User content or passwords.
  • Mine, build databases or otherwise create permanent copies of such content, or keep cached copies longer than permitted by the cache header.
  • Make requests that exceed our rate limits or use the API in a manner that impacts the stability of servers or impacts the behavior of other applications using the API.
  • Try to find or use known vulnerabilities, bugs or bypasses to harm Endress+Hauser, the API itself, the Hub application or any other application or service connected to this API.
  • Create or disclose metrics about or perform any statistical analysis of the API.
  • Install or use the API for any other purpose than that for which it is intended without Endress+Hauser’s prior written consent.

In addition, Addendum 3 (Acceptable Use) of the Master Service Agreement shall apply accordingly.

Attribution to Endress+Hauser

You have to provide attribution to Endress+Hauser as the source of data in accordance with the following guidelines:

  • Display an Endress+Hauser mark so it is clear to the End User that the data originates from Endress+Hauser.
  • Link the logo in such an Endress+Hauser mark to https://www.netilion.endress.com.
  • Do not use the option «no follow» on your links to Endress+Hauser pages and content. All links back to Endress+Hauser should be followable.

Prohibitions on Content

In having the possibility to access End User content through the API you shall be subject to the following restrictions regarding the misuse of the content, information about End Users using the service and Endress+Hauser as company and trademark. You shall not:

  • Sell, rent, lease, share, transfer, assign, or sublicense any End User content or other information or data obtained through the API, directly or indirectly, to or with any third party, including any data broker, ad network, ad exchange, or other advertising or monetization-related party.
  • Request or publish information impersonating a Hub user, misrepresent any End User or other third party in requesting or publishing information.
  • Display Endress+Hauser marks or End User content in a manner that could reasonably imply an endorsement, relationship or affiliation with or sponsorship between you or a third party and Endress+Hauser, other than your permitted use of the service.
  • Display the End User content on any site that disparages Endress+Hauser or its products or services or infringes any Endress+Hauser intellectual property or other rights.
  • Use the End User content in any advertisements or for purposes of targeting advertisements (no matter whether such advertisements appear in your application or elsewhere).

Prohibitions on the API

By using the API, you shall be subject to the restrictions provided in Addendum 3 (Acceptable Use) of the Master Service Agreement.

Term of Netilion Connect

You are entitled to use Netilion Connect in accordance with your Subscription.

Security

You shall use commercially reasonable efforts to protect End User information collected via the API, including personally identifiable information, from unauthorized access or use and shall promptly report the End Users any unauthorized access or use of such information to the extent required by applicable law.

You agree to take appropriate security measures, for example the use of firewalls, virus scanners, etc.; to hold the API free from harm and prevent damage or cutbacks to the API itself, End User content or other users utilizing the API.

Usage Limitations

Endress+Hauser may limit the maximum user content that may be accessed, the rate at which such user content may be accessed and/or the number of network calls that your application may make via the API. Endress+Hauser may change such usage limits at any time, and/or may utilize technical measures to prevent over-usage and/or stop usage of the API by an application after any usage limitations are exceeded.

Modification of API

Endress+Hauser is constantly innovating in order to provide the best possible experience for its users. You acknowledge and agree that the form and nature of the API which Endress+Hauser provides may be subject to minor changes from time to time without prior notice to you. In the event of incompatible changes, a new version of the API will be provided whilst further providing the old version of the API for at least one year. During this period the outdated version will receive just maintenance and bug fixing updates.
